Business overview

  • Star seeds Co.,Ltd. began as a men's apparel chain and runs casual and higher-priced menswear shops, including METHOD, Ryugi Assaku (Japanese-motif clothing), TORNADO MART and HIGH STREET, mainly in shopping centers, fashion buildings and department stores. The apparel segment had 62 stores at the end of August 2026.
  • The company moved to a holding-company structure in June 2025. Its apparel operations were split into two wholly owned subsidiaries, Enshin (mid-priced suburban stores) and SPIC (higher-priced urban stores).
  • During the year to February 2026 it started two new businesses. One acquires grid-scale battery storage development projects (land, equipment and grid-connection rights) and sells them. The other, Starseeds Digital, a majority-owned subsidiary set up in September 2025, buys and sells GPU servers, network cards and related equipment to data center and computer-equipment companies in Japan and overseas.
  • From the third quarter of the year to February 2026, the company reports three segments: apparel, grid battery storage and GPU servers. Before that it reported a single apparel retail segment. The building-maintenance segment was dropped after that subsidiary was sold, and its fiscal year ends in February.

Investment case

  1. The annual securities report for the year to February 2026 names the transformation into an AI infrastructure company led by GPU server and data center business as the company's most important strategy. In the interim period to August 2026, the GPU segment accounted for most group revenue (see Performance & Balance).
  2. The interim earnings release for the year to February 2027 lists further GPU transactions after the period end, including a September 2026 sale to a Taiwanese buyer. It also lists two October 2026 agreements: a comprehensive basic agreement with domestic systems integrator CEC on GPU data center and GPU cloud business, and a contract-manufacturing agreement with Kaga Electronics.
  3. The company is selling apparel units it describes as unprofitable. It sold building-maintenance subsidiary Miyama and live-commerce subsidiary MF6. On September 10, 2026 it sold all shares of ethnic-fashion chain Chichicaca, which had negative net worth at February 2026 and which the company said had kept losing money without producing sufficient synergies.
  4. In the interim release the company kept its full-year forecast for the year to February 2027, which it had raised on September 8, 2026. It cited continued GPU demand and battery-site sales planned for the second half. It paid a year-end dividend for the year to February 2026 and forecasts a year-end dividend for the current year.

Bear case

  1. Both the annual report and the interim release state that events or conditions exist that raise substantial doubt about the company's ability to continue as a going concern, because operating cash flow has been negative for several years. Management concludes there is no material uncertainty. In the interim period, operating cash outflows grew as advance payments to suppliers and receivables increased (see Performance & Balance).
  2. Growth is funded mainly by issuing shares. The company issued its 8th to 10th stock acquisition rights to third parties in June 2026, and many rights were still unexercised at September 30, 2026. The issued share count rose between February and August 2026, so further exercises will continue to add shares.
  3. In the interim period the group earned an operating profit but reported a net loss attributable to owners of the parent. Interest, share-issuance costs, foreign-exchange losses, a loss on the MF6 sale and the share of profit belonging to non-controlling shareholders all reduced the result. The company itself warns that new entrants to GPU server sales may cause price competition and lower profitability.
  4. Battery revenue depends on individual project sales. The contract signed in March 2026 to sell a battery site in Soo, Kagoshima Prefecture was cancelled after the interim period end, and the site remains held for sale.

Catalysts

  • Results for the year to February 2027 (year ending February 28, 2027), measured against the full-year forecast raised on September 8, 2026 and maintained on October 14, 2026, including whether the battery segment completes its planned second-half sales.
  • The contract-manufacturing collaboration with Kaga Electronics targets the start of mass production by the end of December 2026. Progress is also due on the CEC data center and GPU cloud agreement and on the March 2026 three-party memorandum on liquid-cooled AI data center solutions for Japan.
  • Continued exercise of the 8th to 10th stock acquisition rights, and whether later filings still carry the going-concern note on negative operating cash flow.

Key risks

  • Hardware supply and geopolitics: the company states that GPU and server supply depends on global supply and demand and on national policies, including tighter US export and import controls. Rapid product obsolescence and exchange-rate moves also affect procurement costs.
  • Customer concentration: the company states that GPU segment sales are currently concentrated in specific customers. A Hong Kong company, Tenyun Intelligent Computing, was disclosed as a major customer for the year to February 2026.
  • Battery storage policy and grid access: the company states that segment earnings depend heavily on energy policy, subsidies and the design of the capacity and balancing markets. It also cites delays in grid-connection work and grid-connection costs above expectations.
  • Funding and oversight: both new businesses require large upfront purchases funded by borrowing and equity. The company also flags the risk that holding-company oversight of subsidiaries in very different fields may not be effective. The board has six directors, two of them outside directors, and the representative chairman resigned in December 2025.

Assumptions

  • Financial figures on this page come from beluuga.ai's daily data set; trading liquidity is measured over the period shown. We do not use consensus estimates.
  • Year-on-year comparisons are limited: the battery and GPU segments began in the year to February 2026 with no prior-year segment figures; Miyama left consolidation from the start of that year, MF6 left during the interim period, and Chichicaca will leave from September 2026.
  • The interim earnings release for the year to February 2027 was not subject to review by a certified public accountant or audit firm.
  • Qualitative statements are taken from the annual securities report for the year to February 2026 and the second-quarter (interim) earnings release for the year to February 2027.
