ORO: Cash-heavy cloud ERP maker steps up buybacks and dividends

Business overview

  • ORO reports two segments: Cloud Solutions, built around its own cloud ERP package ZAC, and Marketing Solutions, which provides digital advertising operation, web and system development, and site operations for companies with store networks across Japan. The group comprises the parent and eight consolidated subsidiaries in Japan, China, Vietnam, Malaysia, Thailand and Taiwan, and had 585 employees at December 31, 2025.
  • ZAC is an integrated system covering sales, purchasing, attendance and expenses, managed per project; users are mainly advertising, IT services/software and consulting firms. It is sold directly and through large software vendors and trading companies. Reforma PSA is a fixed-configuration version for companies with fewer than 50 employees, sold mainly online, and the segment also sells its own SaaS management tool dxeco and resells third-party tools such as Semrush.
  • From January 1, 2023 ZAC licenses have been sold only on SaaS subscription contracts; the former perpetual-license contracts were recognized as revenue over 30 months, so the related contract liabilities have been running down. The company states that subscription revenue continues beyond that period, which it expects to raise customer lifetime value.
  • The fiscal year ends December 31 and the company reports under IFRS. In January 2026 ZAC sales began in Vietnam, aimed at Japanese-affiliated local companies, and development functions previously spread across the businesses were merged into a new Development Division.

Investment case

  1. The balance sheet in the interim earnings release for the six months to June 2026 shows cash and cash equivalents as the largest asset and no bank borrowings; liabilities consist mainly of contract liabilities, lease liabilities and payables (see Performance & Balance). The annual securities report states that investment needs are funded from cash on hand as a rule.
  2. The company has repurchased shares in both 2025 and 2026 and canceled treasury shares in each year. A board resolution of March 13, 2026 authorized market purchases through September 30, 2026, and the interim release reports cumulative purchases under it through July 31, 2026.
  3. Shareholder returns were also changed on the dividend side: for the year to December 2026 the company paid an interim dividend, having paid only a year-end dividend for 2025, with the full-year total forecast unchanged. The articles let the board decide interim dividends and buybacks without a shareholder vote.
  4. Cloud Solutions revenue and segment profit rose in the year to December 2025, with new ZAC contracts up and recurring maintenance and SaaS fees growing; the company names revenue, operating profit and ROE as key indicators for which it sets and publishes targets. In the first half of 2026 both segments grew revenue and group operating profit increased year on year, with the full-year forecast left unchanged (see Performance & Balance).

Bear case

  1. Marketing Solutions depends on a small number of major clients: in the year to December 2025 their advertising budget cuts, which the company had expected to ease in the second half, persisted and segment profit fell sharply. The first-half 2026 recovery comes after that decline, and the business remains exposed to the same clients' spending decisions.
  2. Cloud Solutions is reliant on a single product, ZAC, which the company itself lists as a business risk; mid-sized ZAC deals came in below the initial plan in 2025 and the segment order backlog at year-end 2025 was lower than a year earlier.
  3. The two largest shareholders are the president and the senior managing executive officer, who are also the only two inside directors (see Shareholders). Their holdings give them significant influence over shareholder votes, including the president's seat on the nomination and compensation committee.
  4. The board's own effectiveness review for 2025 rated discussion of the business environment and strategy, of material issues for sustainable growth, and time to review materials as needing improvement, the first two for a second year; no third-party evaluation is carried out.

Catalysts

  • Completion of the share buyback authorized on March 13, 2026, which runs until September 30, 2026; the company's subsequent disclosure will show the final amount purchased and any further cancellation of treasury shares.
  • Third-quarter and full-year results for the year to December 2026, against the unchanged full-year forecast and the stated plan to pay a year-end dividend in addition to the interim dividend paid from September 14, 2026.
  • Progress on the 2026 growth initiatives stated in the annual securities report: ZAC sales to large domestic companies, ZAC adoption in Vietnam, and the recovery of Marketing Solutions through major-client relationships.

Key risks

  • Competition: the company states its markets have many competitors and no major barriers to entry, and that AI and other new technologies could make its products, services and business model obsolete.
  • Information security: the group handles customer confidential and personal data, and the company cites ransomware, cyberattacks and data-center incidents as risks that could cause leaks, service outages and damage claims.
  • Talent: the company describes recruiting, developing and retaining staff as its top priority, notes Japan's shrinking labor force, and states there is no assurance it can secure the people it needs.
  • Overseas control and governance: the Thai subsidiary is consolidated with a less-than-majority stake on the basis of effective control, and the company says it is strengthening sales and governance at overseas subsidiaries; a Singapore subsidiary was liquidated in July 2025.

Assumptions

  • Financial figures on this page come from beluuga.ai's daily data set; trading liquidity is measured over the period shown. We do not use consensus estimates.
  • Cloud Solutions revenue comparisons across years include the run-off of revenue from perpetual ZAC licenses sold before 2023, which were recognized over 30 months, so recurring growth and reported growth differ.
  • The first-half 2026 figures come from an interim release that states it was not reviewed by an auditor, and the shareholder register on this page is as of June 30, 2026, while governance details are as of the annual report filing in March 2026.
  • Qualitative statements are taken from the annual securities report for the year to December 2025 and the second-quarter (interim) earnings release for the year to December 2026.
