ValueCommerce: A Cash-Saddled Wallet With No Business Left to Defend

TOKYO — ValueCommerce Co., Ltd. (TSE: 2491) is one of the oldest names in Japanese internet advertising. It was founded in 1996 and launched its affiliate-marketing network in 1999, a company built by some of the most brilliant minds of the country's early internet. It did NOT, however, keep pace with the evolution of advertising technology. Today its market cap is $61.0mn. It holds $70.9mn in cash and investment securities with no debt, forecasts an operating loss for 2026, and has a Boston-based activist fund, Kaname Capital, as its largest shareholder.

The company's own management has said as much. Asked in July why it cut its dividend, it answered that it takes "seriously" the fact that "the growth of new services did not keep pace" with the loss of its largest service contracts.

How the core business left

Yahoo Japan, now LY Corp., took a stake in ValueCommerce in 2005 and made it a consolidated subsidiary in 2012. Its most profitable business sold click-based advertising (StoreMatch) and a CRM tool (STORE's R∞) to merchants on Yahoo! Shopping. The unwinding happened in three steps.

  • April 2024. ValueCommerce bought back 10.69 million of its own shares by tender offer at $6.56 a share, $70.2mn in total. The seller was its then parent, an LY Corp. subsidiary, which tendered all of its 16.79 million shares and had the rest returned under proration.
  • January 2025. LY Corp. ended both service contracts as of July 31, 2025, after deciding to develop its own replacements, according to ValueCommerce. The two services generated $104.9mn of revenue in 2024, or 54.1% of the total. LY Corp. paid a $6.4mn fee for help moving merchants to its own platform.
  • August 2025. LY Corp. sold its remaining 6.10 million shares (17.69%) off-market through a broker at $3.64 a share.

In sixteen months the parent took $70.2mn of the company's cash, then the business that produced most of its revenue, then left. Four of the six directors who are not audit committee members are former LY Corp. employees, according to the company's January 2025 disclosure.

Revenue peaked at $227.7mn in 2022, with $52.6mn of operating profit. For 2026 the company forecasts revenue of $91.8mn, 60% lower, an operating loss of $4.5mn and a net loss of $5.1mn.

In the first half of 2026 the affiliate-marketing business earned a segment profit of $3.5mn. The Travel Tech business lost $0.8mn. Head-office costs of $6.2mn more than wiped out both, leaving an operating loss of $3.6mn. In 2025 the company booked $8.1mn of impairment losses on software and other assets, including $2.4mn in Travel Tech, and a further $2.3mn loss on an equity-method investment. In the first half of 2026, while forecasting a loss, it spent $3.8mn fitting out a new head office.

The annual dividend falls from ¥57 a share for 2024 to a forecast ¥16 for 2026, a 72% cut. The share price, $33.74 at its November 2021 high, closed at $2.81 on October 23, down 92%.

Figures through 2025 are consolidated. The company moved to non-consolidated reporting from 2026, so the 2026 forecast and first-half results are non-consolidated.

Market cap at the October 23, 2026 close. Cash and investment securities are from the June 30, 2026 balance sheet. The company has no interest-bearing debt.

ValueCommerce's market cap is less than the cash in its bank account. Its enterprise value is minus $9.9mn, and the shares trade at 0.84 times net assets of $72.4mn.

Management has said how it intends to treat the 12.73 million treasury shares, 36.94% of issued shares, left over from the 2024 buyback. It "considers using them for capital and business alliances with new partners or for M&A," and calls cancellation "one of the options." The company describes its cash allocation as spread across growth investment, shareholder returns and financial stability.

Kaname Capital was already the largest shareholder when it first filed, with 10.91% of voting rights at the end of April 2026, according to the company. It has bought on the market since then, at an average cost of $2.96 a share against Friday's close of $2.81.

Every filing since June has carried the same statement: the stake is a pure investment, but if the share price stays at a level Kaname considers undervalued, it plans to buy more than 5% of issued shares on the market within three months. Another 5% would take it to about 27% of shares outstanding.

At its July results briefing the company said it had met Kaname several times, that Kaname had asked mainly about the business, and that it had received no specific proposal.

Sell it or hand the cash back

ValueCommerce no longer has a business that justifies holding $70.9mn of shareholders' cash. What remains loses money after head-office costs, and every year spent searching for the next growth story costs real money: $10.4mn of write-downs in 2025, a new head office in 2026, and a dividend cut by almost three-quarters. Spending the treasury shares on acquisitions would mean using the shareholders' equity to buy another attempt at the turnaround that has already failed.

There are only two honest answers. Sell the company to an owner who can use what is left, or return the cash to the shareholders who own it. An activist fund now owns about 19% of the shares outstanding and says it will keep buying. Management should choose one, quickly, before more of the value it is sitting on is destroyed.
