Business overview

  • HEROZ was founded in 2009 and built its AI expertise developing shogi (Japanese chess) programs. It still runs the Shogi Wars smartphone app for consumers and now sells AI software and services to companies, including the generative AI assistant HEROZ ASK, released in May 2024.
  • The company reports two segments. The AIX segment, renamed from AI/DX in the year to April 2026, covers the consumer shogi apps and the business AI services of HEROZ, AI Square, Tifana.com (the AI Sakura-san service) and VOIQ (inside-sales support). The AI Security segment is Vario Secure, which sells managed network security services and integration work, mainly through sales agents.
  • The company describes its group strategy, which it calls HEROZ3.0, as AI BPaaS: using AI agents to carry out and optimize whole business processes rather than only supplying software tools. It acquired AKM Consulting, a back-office outsourcing provider for startups, on May 1, 2026 to support this.
  • The fiscal year ends in April. The group reported 259 employees at April 30, 2026, and the company moved from the Prime to the Standard market of the Tokyo Stock Exchange in October 2023.

Investment case

  1. The annual securities report for the year to April 2026 states that Vario Secure became a wholly owned subsidiary through a share exchange effective June 30, 2026, and was delisted on June 26, 2026. The company said that as a listed parent and subsidiary the two had to manage conflicts of interest, which limited joint sales, product development and shared purchasing. Profits previously attributed to Vario Secure's minority shareholders now go to HEROZ shareholders (see Performance & Balance).
  2. The same report states that HEROZ ASK has grown in both corporate users and accounts. The first-quarter earnings release for the year to April 2027 reports about 470 contracted customers by the end of July 2026 and a large year-on-year increase in sales of HEROZ's own business-to-business services.
  3. In the year to April 2026 the company sold all of its Strategit shares to GMO GlobalSign Holdings and booked a gain on the sale. It states that it will redirect the resources to AI agents and AI BPaaS, and in August 2026 a subsidiary resolved to take over an AI training business.
  4. The company reports that Vario Secure's security services revenue held steady, supported by recurring contracts and a low cancellation rate. In the year to April 2026 the AI Security segment earned more segment profit than the AIX segment.

Bear case

  1. Group growth has depended on acquisitions, and the balance sheet carries goodwill from the purchases of Vario Secure, AI Square, Tifana.com and the business VOIQ acquired. Goodwill rose again in the first quarter after the AKM Consulting acquisition (see Performance & Balance). The company warns that impairment could follow if subsidiaries miss their business plans.
  2. The group borrowed from banks, mostly at floating rates, and the company states that rising market interest rates would affect results. It also holds bitcoin and other crypto-assets, marked to market through profit, and keeps deposits with exchanges in emerging markets that it describes as exposed to credit and failure risk.
  3. The company has never paid a dividend, forecasts no dividend for the year to April 2027 and plans to use retained earnings for hiring and investment. The Vario Secure share exchange increased the number of shares outstanding, and stock options and restricted stock add further dilution.
  4. AIX segment profit fell in the year to April 2026 even though segment sales rose. The company attributes higher costs to sales and marketing hiring, investment in HEROZ ASK and M&A-related advisory fees, and corporate costs not allocated to segments remain large.

Catalysts

  • Results for the six months to October 2026 will be the first half-year in which Vario Secure is wholly owned and AKM Consulting is consolidated. They will also exclude Strategit.
  • The full-year forecast for the year to April 2027, published June 12, 2026 and unchanged in the first-quarter release, calls for lower net income attributable to owners than the prior year, which included the Strategit sale gain. Progress against it will show at each quarter.
  • The company has identified specific synergy steps with Vario Secure: joint purchasing, AI-agent automated support and new AI security products. It also plans to complete the takeover of an AI training business resolved on August 3, 2026.

Key risks

  • Competition: the company states that domestic and global companies, including large firms with more capital, technology and brand recognition, offer competing AI and SaaS services. It says new entrants could change market share quickly and put pressure on prices.
  • Concentration: Apple Inc., through which the consumer apps are distributed and paid for, and USEN ICT Solutions, a Vario Secure sales agent, each exceeded one-tenth of consolidated sales. Vario Secure relies on its top five agents for most of its sales.
  • Supply and currency: Vario Secure has its core VSR security devices made by two Taiwanese manufacturers and buys VCR devices from one UK supplier, with minimum-purchase commitments with some makers. Its purchases are in foreign currency.
  • People and control: the company reports reliance on a small number of specialist AI engineers. Its two largest shareholders are individuals who are also its two representative directors (see Shareholders), and outside directors make up three of seven board members, all on the audit and supervisory committee.

Assumptions

  • Financial figures on this page come from beluuga.ai's daily data set; trading liquidity is measured over the period shown. We do not use consensus estimates.
  • Year-on-year comparisons for the year to April 2027 are affected by the deconsolidation of Strategit at April 30, 2026, the consolidation of AKM Consulting from May 1, 2026, and the end of minority interests in Vario Secure from June 30, 2026. Vario Secure's own fiscal year ends in February.
  • The first-quarter consolidated financial statements for the year to April 2027 were not reviewed by the auditor, and no quarterly cash flow statement was prepared.
  • Qualitative statements are taken from the annual securities report for the year to April 2026 and the first-quarter earnings release for the year to April 2027.
