Business overview

  • Uoriki's core retail business runs fresh-fish and take-out sushi counters as a tenant in station buildings, department stores and supermarkets, mainly in the Tokyo metropolitan area. It sources primarily through the Toyosu market and directly from producing regions.
  • The group reports three segments: retail, restaurants (sushi restaurants, seafood izakaya and fish-focused eateries), and wholesale through the subsidiary Uoriki Shoji, which sells to supermarkets, regional wholesalers, restaurants and trading companies in Japan and abroad. Tenant leasing is reported as 'other.'
  • Uoriki raised its holding in Mogami Sengyo, a fish and sushi retailer with stores in the Chugoku and Kyushu regions, and made it a consolidated subsidiary in March 2025. The group had 139 stores at the end of June 2026: 90 operated by Uoriki and 49 by Mogami Sengyo.
  • Overseas activity is described as relatively small. It consists of CP-Uoriki, a Thai joint venture with CPF Global Food Solution that ran 32 fish and sushi stores as of March 2026, plus seafood exports to Dubai. The U.S. subsidiary Uoriki America has ceased operations.

Investment case

  1. The annual securities report for the year to March 2026 states that the group funds working capital, capital spending and any M&A or capital alliances from internal resources. It describes interest-bearing debt as minimal against its cash balance and keeps overdraft lines with two banks as a backstop (see Performance & Balance).
  2. The company says same-store sales in retail, its key indicator, rose in the year to March 2026 and again in the first quarter to June 2026. It attributes this to passing cost increases through to prices and to closing underperforming stores as part of a 'lean store network' policy.
  3. The company identified a material weakness in internal control over financial reporting for the year to March 2025. It recruited an experienced CFO and accounting head from outside, rewrote its closing manuals, and concluded that internal control was effective at the end of March 2026.
  4. The articles of incorporation let the board decide dividends without a shareholder vote. The first-quarter earnings release keeps the interim and year-end dividend forecasts for the year to March 2027 unchanged from the prior year.

Bear case

  1. Alongside the first-quarter release on August 14, 2026, the company revised its forecasts. It now expects operating profit, ordinary profit and net profit for the year to March 2027 to fall from the prior year, despite slightly higher sales (see Performance & Balance).
  2. Mogami Sengyo, consolidated since March 2025, recorded a net loss for the year to March 2026. It closed three stores in the first quarter to June 2026, and the company says unprofitable stores that cannot be turned around will be closed.
  3. Results outside retail are thin. Wholesale operating profit fell in the year to March 2026 as logistics and handling costs grew faster than gross profit, and the restaurant segment posted a small operating loss in the first quarter to June 2026. Group impairment losses on store assets were larger in the year to March 2026 than a year earlier.
  4. A large part of the balance sheet sits in investment securities and other investments outside the operating segments. Gains on sales of investment securities, along with dividend income, made up much of the gap between operating and ordinary profit in the year to March 2026 and the first quarter to June 2026.

Catalysts

  • Second-quarter results for the six months to September 2026, measured against the first-half forecast revised on August 14, 2026. Under the company's seasonality disclosure, the third quarter, which includes the year-end selling season, normally produces the highest sales and operating profit.
  • The current medium-term plan covers fiscal 2024 to fiscal 2026, so the year to March 2027 is its final year. Watch for the plan's outcome and any successor plan, including targets for sales and operating profit, which the company names as its main performance indicators.
  • The Dubai business: in February 2026 Uoriki Shoji invested through a limited partnership in its Dubai customer, Country Hill International, and signed a business alliance with it. The company reports that the U.S.–Iran conflict reduced export volumes.

Key risks

  • The company lists food safety and labeling compliance under the Food Sanitation Act, Food Labeling Act and Measurement Act among its most important risks. It also cites reputational effects on raw fish consumption, including from the release of treated water from the Fukushima Daiichi plant.
  • The company cites rising fish prices driven by global demand and depleting wild stocks, higher logistics costs, and declining fish consumption in Japan. It names partnerships, including its capital and business alliance with the aquaculture company THE YONKYU, as responses.
  • Labor shortages and rising part-time wages are named as a constraint on new store openings. As a tenant, the group also faces landlords revising terms at renovations, selecting tenants, and shifting from automatically renewed leases to fixed-term leases.
  • On governance, the board has eight directors, three of them independent outside directors, and all three statutory auditors are outside auditors. The nomination and compensation committee is advisory, and it held no discussions on nominations during the year to March 2026. A private company, Yamakei, heads the major-shareholder list, and MUFG Bank, Mizuho Bank and other business partners also appear on it (see Shareholders).

Assumptions

  • Financial figures on this page come from beluuga.ai's daily data set; trading liquidity is measured over the period shown. We do not use consensus estimates.
  • Mogami Sengyo was consolidated at the end of the year to March 2025, so its results enter the income statement only from the year to March 2026. Year-on-year comparisons of sales and profit for that year are affected by the change in scope.
  • Depreciation for the year to March 2026 includes a reversal gain from a change in estimated asset retirement obligations, which affects the comparison of segment profit with the prior year.
  • Qualitative statements are taken from the annual securities report for the year to March 2026 and the first-quarter earnings release for the year to March 2027.
